Exemption from the obligation to file the Beneficial Owners details
The Department of Registrar of Companies and Intellectual Property hereby announces that, according to Regulation 112/2021 (Κ.Δ.Π. 112/2021):
Companies that have filed an application to be stricken off the Companies Register before 12/03/2021 or their liquidation has begun before 12/03/2021 are exempted from the obligation to file the Beneficial Owners of their shares. The operative dates for exemption purposes are :
- in case of Strike Off, the date of submission of the relevant application with the Registrar.
- in case of Voluntary liquidation, the date of the Resolution approving liquidation of the company.
- in case of Liquidation by Court Order, the date of submission of the application for liquidation with the Court.
Companies that fall into the above categories, are kindly requested to ignore the letter titled “Commencement of Beneficial Owners Registrar of Corporate and other legal entities by the Department of Registrar of Companies” by the Registrar.
In addition, the Department of Registrar of Companies and Intellectual Property announces that where companies are without officials after 12/03/2021, the obligation to register the Beneficial Owners of the Company remains.
The same applies in the case an application for striking off a company based on the provisions of Article 327 (2A) (a) of the Companies Act (Cap 113) is submitted to the Registrar after 12th of March 2021.
